1. WONATTI
1.1 Wonatti C23, LDA is a legal entity registered in Portugal under Portuguese law. Hereafter referred to as Wonatti.
1.2 Wonatti markets products covered by the "Wonatti" mark worldwide. Wonatti's representatives are also entitled to sell products covered by the "Wonatti" mark.
1.3 Each product, drawing, sample, design, sketch, or any other product conceived, created, or produced by Wonatti - hereinafter referred to as a product.
1.4 Each private person, business entity, or registered company that enters into a legal transaction is hereinafter called a customer.
1.5 An order shall be understood as a legal transaction concerning the purchase of a product or service by the customer.
1.6 The customer enters into a legal transaction with Wonatti through the representative.
1.7 The Terms and Conditions are applicable to all Wonatti transactions, including but not limited to the following activities: Sale of Goods, Design Services and Product Assembly.
1.8 The purchase date shall be understood as the date on which a prepayment is received by Wonatti.
1.9 Wonatti reserves the right not to enter into a legal transaction with a customer at its own discretion;
1.10 Wonatti may modify these Terms and Conditions at any time. By entering into a legal transaction with Wonatti, the customer accepts the Terms and Conditions in effect on the date of purchase.
1.11 The Terms and Conditions are published and updated on Wonatti's official website (www.wonatti.com).
2. CUSTOMER FORM
2.1 All customer forms will only be registered when the first proforma is issued. The customer is required to provide valid company information, including and not limited to: billing name, billing address, VAT number (company registration number or resale number).
3. PRODUCT ORDERS
3.1 There are no minimums required when purchasing Wonatti products.
3.2 To place an order, the customer is required to provide the information requested by the representative for the purpose of a legal transaction, including and not limited to Name and billing address, tax number or VAT number (company registration number or resale number), and email address; or other mandatory information if required for a legal transaction.
3.3 The customer is responsible for selecting the products that make up the purchase.
3.4 A proforma invoice must be required for each purchase intended to be placed with Wonatti's official representative. Payment of the official proforma invoice confirms the customer's selection of the item, including all finishes specified for each product listed for that particular order.
3.5 Wonatti reserves the right to consider a proforma invoice valid for 30 working days from the day it is initially issued. Therefore, the customer is advised to require separate proforma invoices, distinguishing between product and shipping quotations; in the case of proforma invoices with shipping quotations, these are considered valid for 10 working days only.
3.6 When making a purchase, the customer is entitled to request photographs of the ordered products before shipment. This request must be added to the proforma invoice of the order.
4. CUSTOM & BESPOKE
4.1 Wonatti offers a design service to customize its products to meet customer’s needs and specifications. In addition, Wonatti also accepts custom orders.
4.2 A design fee is applied to all custom orders. This fee is deductible from the final invoice of the product. Wonatti reserves the right to fix the validity period and the price of an official quote for a custom-made product accordingly.
4.3 An official signature and stamp of the customer's company are required for all drawings / technical schematics associated with any custom / bespoke product.
4.4 The lead time for customized / tailor-made products is proposed on a case-by-case basis at Wonatti's discretion. The lead time starts when the representative confirms receipt of the technical drawing/schematic signed by the customer.
4.5 Wonatti provides a lead-time estimate with official quotes and proforma invoices that include custom / made-to-measure/bespoke products and establishes a final lead time commitment with each technical drawing to be signed off by the customer.
5. CUSTOMER'S OWN MATERIALS (COM)
5.1 For COM orders, production will not begin on any product requiring any fabric, leather, trim, or lanyard supplied by the Buyer until all materials for the ordered products have arrived and have been properly identified by Wonatti. The deadline for orders with COM products begins after all materials have been properly identified.
5.2 The client assumes responsibility for the validity of the wear, safety, or fire code of the materials supplied by the client. Wonatti is not responsible for the selection of fabrics chosen and sent by the client.
5.3 Wonatti assumes that all COMs received have been inspected and are ready for use. Wonatti's warranties do not extend to materials supplied by the customer. All claims related to fabric defects are the sole responsibility of the customer and the fabric supplier.
5.4 The customer is responsible for ensuring that all materials are identifiable when received. Wonatti is not responsible for delays in production or any misuse of the fabric if the fabric is shipped without identification by the customer.
6. PRODUCT FEATURES AND ACCURACY INFORMATION
6.1 Wonatti reserves the right, without notice, to discontinue products or change specifications on products.
6.2 Wonatti attempts to ensure that the information on wonatti.com or in official printed materials is complete, accurate, and current. Despite efforts, the information provided may occasionally be inaccurate, incomplete, or out of date.
6.3 The main features of the products are shown on wonatti.com on each product page. All measurements and similar descriptions are approximate due to the characteristics and techniques of the raw materials; and are provided for convenience purposes only.
6.4 Wonatti makes reasonable efforts to accurately and faithfully display the relevant attributes and information of the original products, including technological means to reduce inaccuracies and applicable colors as much as possible. However, the products displayed may differ slightly in terms of image and colors due to computer systems, multimedia screens, or printed materials. As a result, Wonatti does not fully guarantee a clear identity of the final products compared to their graphic representation shown on the official website or official marketing material.
7. CRAFT PRODUCTS AND RAW MATERIALS
7.1 Wonatti products are unique pieces of handcrafting. Each product has its own unique attributes that are impossible to replicate identically from piece to piece due to the human factor of the best Portuguese craftsmanship.
7.2 Due to the nature of Wonatti's manufacturing processes, techniques, and material selection, certain products may exhibit slight variations, minor marks, pitting, porosity, and/or color anomalies.
7.3 Many kinds of wood, stone, and metal materials and finishes may vary in color, veining, tone, and character, it is considered part of the natural beauty of the applied material. Although Wonatti makes every effort to match a finish and/or texture, no guarantee can be made of an exact match. Wonatti does not guarantee finishes against fading and oxidation.
7.4 All products with brass elements will need to be properly cared for and polished over time. Due to the porous nature of brass, it is common for there to be slight and unavoidable discrepancies in the metal after production is completed. Cast products may vary in weight due to the nature of the process.
7.5 Wonatti does not fully guarantee a perfectly clear identity of identical finishes on two or more pieces manufactured in separate orders - with respect to coloration, and precision details of handcrafted processes such as wood carving, ceramics, casting, and other metalwork, for technical reasons listed above. Wonatti works every day to improve product quality, aesthetics, usability, and reliability.
8. SUITABLE PRODUCT APPLICATIONS
8.1 Weather conditions, including levels of heat, light, and humidity, within the user's environment, can affect the fabric and wood and can lead to fading, stretching shrinkage, or other damage.
8.2 The selection of furniture or fabrics for specific placements or applications is made at the sole discretion and risk of the customer and Wonatti shall have no responsibility for such selections.
9. PRICE
9.1 Wonatti's official price lists are public, and all prices for each product are posted in EURO.
9.2 Wonatti Price Lists supersede any previously published or advertised price lists and should be consulted before ordering.
9.3 Prices are subject to change and will be as quoted on Wonatti's official price list at the time of agreement.
9.4 All prices are retail prices and do not include VAT, or any other related taxes, duties, and shipping costs.
9.5 Wonatti reserves the right to apply VAT costs in all relevant cases, and statutory taxes and fees shall be subsequently added to the retail price. Wonatti applies a separate pricing policy for purchases made from US accounts;
9.6 Standard packaging is included in all product prices. If the customer requires specific packaging, he will be charged accordingly.
9.7 All prices and transactions are EX WORK from Portugal, and therefore do not include any transportation costs, associated fees, or containerized cargo packaging.
9.8 The customer may not derive any rights from any information provided by Wonatti with respect to an offer, catalog, brochure, price list, etc.
9.9 Wonatti reserves the right, without notice, to discontinue products or change product specifications and prices.
10. PRODUCT CERTIFICATION / TRANSACTION & TECHNICAL DOCUMENTATION
10.1 Product and transaction certifications, as well as other technical documents, are available upon request before placement of the order and may be subject to issuance fees.
11. PAYMENT & SHIPPING POLICY
11.1 Before the start of production and/or delivery of the products, Wonatti requires a down payment of 50% of the total amount, to settle all standard orders. The final remaining balance is required once the order is completed and before shipment from Portugal.
11.2 For custom orders and stock orders, an advance payment deposit of the total amount is required.
11.3 Reservations are allowed only for products in stock. Requires an advance payment of 50% of the total amount of the Product. Reservation payments are non-refundable.
11.4 The client must make each payment by bank transfer as indicated in the order proforma. The customer is advised to confirm Wonatti's bank details before making any payment and is also advised to send proof of the bank transfer to the designated representative.
11.5 An order invoice for each purchase is issued and sent to the customer once the remaining balance is settled.
11.6 All changes to the Invoice in terms of billing details, and other relevant information, must be requested before the balance of the order is cleared. All changes required once a Final Invoice has been submitted will be subject to an administrative fee.
11.7 Purchased products may be shipped once the final balance of the purchase is cleared with full payment of all amounts owed by the customer to Wonatti.
12. SHIPPING POLICY
12.1 All prices and transactions are EX WORK, and therefore do not include any shipping costs or associated fees.
12.2 When on behalf of the customer, the loading, transportation, logistics, customs clearance, insurance, unloading, or installation of the part at the destination location is the sole responsibility of the customer, Wonatti shall be free of any charges or liability for events, loss, or all damages during or after transportation or installation.
12.3 Shipping services are available upon request to Wonatti. Shipping services are charged separately from product orders. Quotations for shipping services are sent by proforma invoice and are valid for 10 business days from the date of issue.
12.4 When the shipping quote is requested from Wonatti and sent to the customer before the products are paid in advance, Wonatti undertakes to consider the cost of the proforma invoice sent earlier.
12.5 All transportation services require the recipient of the goods to check their condition with the carrier at the time of delivery. The POD (waybill) must be signed with reservations subject to verification with/without apparent damage and provided to Wonatti upon request.
12.6 Ownership of the product transfers to the customer at the moment the freight carrier takes possession of the transport order.
12.7 The delivery time starts from the moment the customer advances 50% of the total amount of the order.
12.8 For orders with a final destination outside Europe, Wonatti reserves the right to issue the DU (export document) with an additional fee per invoice. For orders with a final destination in the United States, Wonatti reserves the right to issue the DU (export document) with an additional fee per invoice.

13. WAREHOUSE AND PRODUCT STORAGE FEES
13.1 Wonatti reserves the right to apply a storage fee for all products that remain in the shipping warehouse for more than 10 business days since notification that the final balance is due, and/or the shipping arrangements have not been made within 10 business days after the customer has been informed that the order is ready for shipment.
13.2 Storage charges may apply up to the full invoice amount if the remaining balance is not paid in full within 10 business days after the customer has been informed that the order is ready for shipment.
13.3 Only after payment of such fees can the order be picked up by the customer.
14. LEAD TIME
14.1 The standard lead time for Wonatti parts is 12 weeks. The production lead time is triggered on the date advance payment is received. The delivery time is not included.
14.2 The lead time for large quantity orders, orders with 1 or more customized/manufactured custom products, prototypes, and/or custom-made products, requires a case-by-case analysis. Wonatti reserves the right to adjust the lead time accordingly. It must be previously agreed and accepted in writing between all parties.
14.3 For custom orders, Wonatti starts the stipulated deadline once the technical drawing has been signed and sent to the representative, and the advance payment has been received.
15. WARRANTY & DAMAGE CLAIMS
15.1 Wonatti shall be liable for material defects in accordance with applicable legal provisions. The additional warranty from Wonatti's suppliers is only applicable if it appears on the respective item invoice.
15.2 Each complaint is evaluated on a case-by-case basis by Wonatti Customer Service. If any problem is detected with the received products, a written complaint must be submitted to Wonatti representative and customer service (at hello@wonatti.com) within 2 working days after receipt of the products. After this period, Wonatti reserves the right to decline any responsibility on the condition of the products.
15.3 Wonatti strongly advises customers to first check the packaging for noticeable damage, and then check all boxes upon delivery for non-conformities in the condition of the goods.
15.4 The original packaging of the products must be kept. In the event of a claim being filed, the packaging must be retained for as long as the claim is resolved.
15.5 If the collection or return of any item is necessary and the original packaging has not been kept, the customer shall be responsible for all costs and procedures necessary to bring the item into shipping condition. Wonatti will not be responsible in any way for the replacement, purchase, or any other costs related to the replacement of the original boxes or crates.
15.6 Damaged products to be returned must be in the condition in which they were received by the customer. The products must be well packed to prevent further damage. The customer must not attempt to modify, manipulate, install or repair them.
15.7 Wonatti undertakes to offer the customer a proposed solution within 10 working days after the complaint has been registered and all information requested by the customer care service is released
15.8 The customer is advised to check and photograph all ordered parts upon arrival. All complaints must be accompanied by photographic or video evidence supporting the customer's complaint, in which all products, corresponding boxes and/or cartons and issues complained of are clearly shown, and a detailed written description.
15.9 Wonatti assures the repair or replacement of the components detailed in the complaint submission form. Wonatti strongly advises that products be stored in good condition. All other damage not included in the claim submission will not be covered by Wonatti's warranty and may be subject to a surcharge.
15.10 Wonatti reserves the right to refuse any repair, pickup, or delivery of any item from any location other than the original shipping address. Any transportation of the product from the destination to a second location will forfeit any claim of transportation damage.
15.11 When claims occur, Wonatti exchanges information with the client of the respective purchase. Wonatti reserves the right not to share information or deal with entities or persons other than the client.
15.12 Wonatti is not responsible for claims for orders placed with other entities, agents, showrooms, or anyone outside Wonatti's reasonable control other than an official Wonatti representative.
15.13 Wonatti reserves the right to refuse liability if: a. The claim is submitted after 2 working days, or is not accompanied by the mandatory information mentioned within 5 working days; b. The claimed products have been altered or in any way tempered, either by the customer or by a third party, without Wonatti's consent; c. The products show clear signs of regular use.
TRANSPORT CLAIMS
15.14 Claims for defects resulting from the shipping process handled by the customer are not covered by Wonatti's warranty. Wonatti is not responsible for damages and freight claims of the client or third parties. In such cases, Wonatti is committed to finding a suitable solution with the customer.
15.15 In the case of EXW shipping, Wonatti is not responsible for the damage sustained to the cargo in transit. In the case of DAP/DDU/DAT shipment, please note that before signing the goods delivery document, the customer is required to confirm whether the package has any noticeable damage. If there is noticeable damage to the package, the customer should mention "subject to verification" to safeguard any possible damage to the goods and make a claim under the insurance policy.
15.16 When, on behalf of Wonatti, visible or concealed damage occurs in transit, immediately notify the delivering carrier with initial notification of intention to file a claim. Failure to notify, or to file a written claim for any damage or loss within 2 business days of delivery will automatically release Wonatti from any liability for damage sustained to cargo in transit.
15.17 The customer may claim a warranty on defects that result from mishandling in the shipping process, up to 2 working days after receipt of an order. As a result, the customer is advised to check and photograph all ordered parts upon arrival. All shipping-related claims must be accompanied by the signed POD (waybill), photographic or video evidence supporting the customer's claim, where all products, corresponding boxes and/or cartons and issues claimed are clearly shown, and a detailed written description.
15.18 Upon proof that any quality caused part damage requires replacement, Wonatti undertakes to exchange the damaged part or complete product(s) within a period agreed with the customer. It is mandatory that Wonatti collects the damaged part or complete part(s) to replace it with a new one(s).
16. ORDER CANCELLATION OR MODIFICATION
16.1 Before the start of production and/or delivery of the products, Wonatti requires advance payment for each order. Products are manufactured after confirmation of the deposit.
16.2 Should the customer need to modify an ordered item, its finish or quantity, or correct any errors in the order specified in the official proforma invoice following its corresponding order placement, the customer should follow the instructions suggested by customer service at hello@wonatti.com.
16.3 Wonatti reserves the right to charge for any changes made to the order, 2 business days after receiving your confirmation of payment.
16.4 To exercise the right of withdrawal, the customer should contact customer service at hello@wonatti.com.
16.5 Cancellations are accepted within 48h after the deposit of the first advance payment. Any cancellation requests will not be accepted after that period.
16.6 Wonatti reserves the right to retain 30% of the total amount of the product by the customer for all standard orders. The same applies to custom orders if a technical drawing has not been sent from the representative to the customer.
16.7 For custom orders, if the technical drawing has been sent from the representative to the customer, Wonatti reserves the right to retain 50% of the total amount deposited by the customer. The same applies to stock orders.
16.8 Cancellations of any bespoke orders will not be accepted if a technical drawing is approved and signed by the customer and/or production is started. Wonatti reserves the right to refuse the return or refund of any made-to-measure item.
16.9 Wonatti reserves the right to complete a refund or make a replacement of the item, only after the original item has been delivered to its designated warehouse and checked for damage.
16.10 Wonatti also reserves the right to refuse or deduct credit from a refund in cases where the original item is not returned in intact condition. All products must be returned in their original packaging (box, accessories, inserts, protection, brochures, etc.) and must be accompanied by the purchase invoice.
17. FORCE MAJEURE
17.1 Wonatti shall not be liable for any damage or loss, completion, shipment, or failure to deliver to the customer caused by outside Wonatti's reasonable control, but not limited to a) government action, war, riots, civil commotion, embargoes, or martial laws, strikes, union conflicts, accidents, lockouts, terrorism, (b) shortages or absence of raw materials by manufacturer, delays by suppliers or shippers, (c) shortages of labor, production, or other manufacturing contingencies; (d) transportation shortages or other traffic delays, (e) fire, flood, or other accident; as a result of which Wonatti is unable to perform its activities and/or obligations under the agreement.
18. INTELLECTUAL PROPERTY/CONFIDENTIALITY
18.1 Wonatti may reasonably use the product photos for the promotion of its activities and advertising.
18.2 The client acknowledges and agrees that the product, without prior written approval and agreement with Wonatti, may not be duplicated, copied, published, and/or used for any commercial, marketing, or advertising activity or any other purpose not provided for in the agreement. In the event of any agreed use of the work by the customer, the customer shall expressly and mention Wonatti's name as the designer of the work.
18.3 Wonatti's products may not be used for commercial, marketing, or advertising activities when the entities do not own the corresponding products.
18.4 Without prejudice to Wonatti's claim for damages and/or compensation, violation of this Article shall result in the imposition of a penalty, with immediate effect, and not subject to any judicial intervention, per violation and/or per day during which the violation continues.
18.5 The client undertakes to keep the agreement, the terms of the contract, and all information exchanged with Wonatti strictly confidential, throughout its validity period and thereafter, without time limit.
19. RESPONSIBILITY
19.1 Wonatti shall not be liable for any loss of profits or savings, loss of reputation or goodwill, indirect or incidental or consequential damages arising out of or in connection with the sale of the goods.
20. CHANGES AND UPDATES
20.1 The General Terms and Conditions may be amended from time to time due to new laws and regulations or other reasons. The new Terms and Conditions will take effect from the date of publication on wonatti.com and will therefore apply to orders submitted after that date.
